SYSTEM ENFORCEMENT & IMMUNITY NOTICE
This Acceptable Use Policy (“AUP”) is an unseverable legal framework governing all operational activities across vyaparies.com and all generated software subdomains. This document dictates the mandatory, non-negotiable guidelines under which commercial business operators (“Vendors”) may utilize our software infrastructure. Any violation of this policy triggers immediate administrative enforcement designed specifically to shield the Platform and protect the private assets of the Sole Proprietor.
1. SAAS INFRASTRUCTURE & INTERMEDIARY SAFE HARBOR
The Vendor explicitly recognizes that Vyaparies Technologies operates strictly as a Pure B2B2C Software-as-a-Service (SaaS) Utility. The Platform provides zero product sourcing, storage network control, price settlement assistance, or commercial listing endorsement.
Section 79 Statutory Intermediary Status:
In strict accordance with Section 79 of the Information Technology Act, 2000, and the IT (Intermediary Guidelines) Rules, the Company acts strictly as an objective technical pipeline. The Vendor retains absolute, primary statutory ownership and single-point liability for all descriptive metadata, pricing lists, catalog imagery, and conversational logs uploaded to their isolated platform snapshot.
2. ABSOLUTE CATALOG INVENTORY & SERVICE PROHIBITIONS
The Vendor is strictly prohibited from utilizing the Platform's catalog engines, subdomain routing layers, or automated Khata Bahi layouts to exhibit, market, offer for sale, or log accounting tallies for the following classes of illegal or restricted items:

3. MANDATORY JULY 2026 METROLOGY METADATA FILTERING
To satisfy consumer protection updates enforced by the Ministry of Consumer Affairs and the Legal Metrology (Packaged Commodities) Rules, the Platform integrates programmatic product filtering parameters to eliminate platform liability for illegal imports.
The Country of Origin Structural Hard Stop: Every imported retail item displayed for digital checkout inside the territory of India must contain an explicit, searchable, and sortable “Country of Origin” tag. The Platform provides dedicated, structured metadata entry fields within the catalog manager to capture this parameter.
The intentional omission, masking, or utilization of unstructured description text blobs to hide the country of asset origin constitutes an immediate, critical breach of this AUP. Such activity will trigger an automated programmatic hard stop, instantly disabling the checkout button configuration for that specific listing until compliance metrics are fulfilled.
4. ENTERPRISE PLATFORM PROTECTION & SYSTEM ABUSE PROHIBITIONS
Vendors are granted a limited, non-transferable, revocable license to employ our web templates strictly for normal commercial inventory display. Any engagement in technical application exploitation constitutes a critical violation of this Policy:
- Anti-Scraping & Botnets: Users shall not deploy automated scraping scripts, data harvest crawlers, indexing bots, or screen-scraping routines against any endpoint belonging to the primary domains or subdomains.
- Reverse-Engineering Ban: Users are strictly banned from decompiling, reverse-engineering, data mining, or executing structural intercept protocols to extract the source code, directory setups, or underlying mathematical weights of the Khata Bahi NLP engine.
- Network Attacks & Rate Limits: Vendors shall not execute distributed denial-of-service (DDoS) loops, deploy malicious payloads/malware, bypass established API rate thresholds, or exploit backend vulnerabilities to destabilize distributed database performance.
5. PROHIBITION OF SAAS REVENUE CIRCUMVENTION
The Platform determines subscription usage hierarchies, performance tiers, and catalog limits based on tracking algorithms mapped within our software middleware layers.
THE EVASION PENALTY CLAUSE: The Vendor is explicitly barred from using our storefront listings to capture local consumer connections and subsequently publishing large text headers, shop images, or conversational alerts instructing buyers to exit the software interface (e.g., “Call directly to place order via direct cash and get 10% off”) with the explicit intent to evade transaction accounting frameworks or SaaS subscription tier limits.
Any verified transaction redirection tracking pattern will result in immediate administrative intervention. The Vendor acknowledges that platform circumvention causes direct financial damage to the software ecosystem and explicitly agrees to be bound by the INR 50,000 Liquidated Damages provisions detailed in the Master Vendor Agreement.
6. UNILATERAL SUSPENSION MANDATES & THE INSTANT TAKEDOWN RIGHT
A. Instant Takedown Right & Subscription Forfeiture
The Company preserves the absolute, unilateral, and unconditional authority to execute an immediate profile freeze, product deletion, sub-domain routing ban, or permanent database erasure without prior warning or explanation if the Company suspects any breach of this AUP, third-party copyright claims, or verified consumer fraud alerts. Vendors terminated under this section explicitly forfeit any active SaaS subscription balances as liquidated system management overhead.
B. The 30-Day Automated Purge
Following an AUP-driven platform termination, the Vendor holds a strict 30-day grace window to download their ledger history via manual CSV export tools, after which automated cloud scripts execute permanent cryptographic shredding of the database snapshot, removing all vectors for post-termination discovery actions.
C. The 3-Month Liability Cap
To insulate the Sole Proprietor's personal savings, bank balances, and real estate assets from third-party litigations resulting from an AUP enforcement freeze, the Company's aggregate technical liability remains absolutely hard-capped at a value equivalent to the last three (3) months of paid software fees from that specific claimant vendor.
7. CENTRALIZED GRIEVANCE REDRESSAL & SATNA ARBITRATION
In complete compliance with the Information Technology (Intermediary Guidelines) Rules, any reports of copyright infringement, AUP violations, illicit inventory storefronts, or technology abuse tracking anomalies must be dispatched immediately to our centralized help desk email.

Any commercial B2B disputes regarding this policy shall bypass civil courts entirely and route exclusively to private Binding Arbitration inside Satna, Madhya Pradesh.
